1. Agreement

These Terms and Conditions govern the professional services provided by Emme Works S.r.l., a limited liability company registered in Italy (the “Studio” or “we”), to clients who engage us for visualization, visual communication, branding, or related services (the “Client” or “you”).

By signing a proposal, issuing a purchase order, or otherwise commissioning work from Emme Works, you agree to these Terms. Any deviations or additions must be agreed in writing and signed by both parties.

2. Scope of services

Emme Works provides architectural visualization, product visualization, animation, visual branding, creative direction, and related consultancy services. The specific scope of each engagement is defined in a written proposal or statement of work (the “Proposal”) signed by both parties.

Any work outside the Proposal’s scope constitutes a change request and is subject to a new quote, revised timeline, and written approval before execution.

3. Proposal and pricing

All pricing is quoted in Euro (EUR) unless otherwise stated in the Proposal. Prices exclude VAT, which is charged separately where applicable under Italian and EU tax law.

Proposals are valid for thirty (30) days from the date of issue unless stated otherwise. Prices may be revised after this period.

A deposit of [40%] of the total project value is required before work begins. The remaining balance is due on delivery of the final files, as specified in the Proposal.

4. Payment terms

Invoices are issued according to the Proposal schedule. Payment is due within [30 days] of the invoice date unless otherwise agreed in writing.

Late payments accrue interest at the statutory rate defined under Italian Legislative Decree 231/2002, starting from the day after the due date.

If an invoice remains unpaid for more than [60 days] past the due date, Emme Works reserves the right to suspend ongoing work, withhold delivery of files, and escalate collection through legal means.

5. Delivery and revisions

Delivery timelines are specified in the Proposal and are calculated from the date all required inputs (3D models, brand guidelines, reference images, feedback rounds) are received from the Client.

Each project includes the number of revision rounds stated in the Proposal. Additional revisions beyond the stated rounds are billed separately at the applicable hourly rate or agreed fixed fee.

Delays caused by late Client feedback, incomplete inputs, or scope changes may shift the delivery date. Emme Works will communicate any schedule impact in writing.

6. Intellectual property and usage rights

All pre-existing materials, working files, 3D scenes, templates, and methodologies created or used by Emme Works remain the Studio’s intellectual property. Unless otherwise agreed, only the final deliverables (images, videos, layouts) are transferred to the Client.

Upon full payment, the Client receives a perpetual, non-exclusive license to use the final deliverables for the purposes defined in the Proposal (e.g., marketing, sales, publication, presentation).

Unless expressly prohibited in writing, Emme Works retains the right to display the Client’s project in its portfolio, case studies, website, social media, and award submissions, with appropriate credit to the Client. The Client may request to delay or limit such public display in writing.

Third-party assets (purchased textures, scanned models, music tracks, fonts) remain subject to their original licenses and are not transferred to the Client.

7. Confidentiality

Emme Works honours confidentiality as a core professional standard. Where a Non-Disclosure Agreement is in place, the Studio will not publish, share, or reference Client work in any form without prior written permission.

For engagements involving confidential product designs, unreleased architectural projects, financial data, or strategic information, a mutual NDA is signed before project kickoff. Our standard NDA template is available on request.

Confidentiality obligations survive the termination of the engagement.

8. Use of AI tools

Emme Works may use artificial intelligence tools as part of its production workflow, including but not limited to image upscaling, scene composition assistance, texture generation, reference exploration, and administrative support.

All AI-assisted work is subject to the same quality review, art direction, and confidentiality standards as manually produced work. No Client confidential information is submitted to third-party AI services without explicit written permission.

Clients who prohibit the use of AI tools in their project must indicate this in writing during the proposal stage. Additional fees may apply to fully manual production.

9. Liability

Emme Works’ liability for any claim arising from the engagement is limited to the total fees paid under the relevant Proposal. The Studio is not liable for indirect, consequential, or punitive damages, including loss of revenue, missed competitions, or missed sales opportunities.

The Client is responsible for the accuracy of inputs provided to Emme Works, including 3D models, materials, brand guidelines, and reference information. Emme Works is not liable for errors that result from incorrect or incomplete Client inputs.

10. Termination

Either party may terminate the engagement in writing if the other party materially breaches these Terms and fails to remedy the breach within fifteen (15) days of written notice.

If the Client terminates after work has begun, fees already accrued plus a cancellation fee of [20%] of the remaining project value become due. Emme Works delivers work-in-progress files upon receipt of final payment.

11. Governing law

These Terms are governed by the laws of the Republic of Italy. Any dispute arising from the engagement is subject to the exclusive jurisdiction of the courts of Bologna, Italy.
